Unlawful Activity
Paul Merchants Finance reserves a right to block your account or take any action if the Company deems appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your Account profile, email addresses, usage history, posted materials, IP addresses and traffic information.

Indemnify
You agree to indemnify and hold us and our subsidiaries, affiliates, officers, agents, and employees, harmless from and against all losses, demands, claims, damages, expenses (including reasonable legal costs) and liabilities arising from any third party claim resulting from the use or misuse of Paul Merchants Finance Products and / or Services or for harm suffered directly or indirectly by us as a result of your breach or non-compliance of obligations under this Agreement.

Confidentiality
Paul Merchants Finance shall ensure to keep all the data shared by you confidential. You agree that the following information shall not be subject to such confidentiality:

(a) any information that is or will be generally known to the public (provided that such information does not result from the receiving party’s unauthorized disclosure to the public);
(b) disclosure of such information is required by applicable laws or security exchange rules.

Force Majeure
Any delays in or failure or discontinuation of performance by Paul Merchants Finance under this Agreement shall not constitute default hereunder if and to the extent caused by Force Majeure, which is defined to be occurrences beyond the control of the party affected, including but not limited to acts of the government authorities, acts of God, fire, flood, explosion, riots, war, rebellion, insurrection, sabotage and non-cooperation of third parties.

Notice
Any notice, request, demand or other communication under these terms and conditions shall be in writing, delivered by hand or courier or by registered post, to the address as indicated or to such other address as either party may in writing hereafter notify to the other party or be intimated by SMS or email registered with Paul Merchants Finance.

Change in Information
If there is any change in the address or phone number provided by you, we request you to intimate us by registered letter or through hand delivery failing which it will be presumed that notices sent at the address given is duly received by you, irrespective of its acknowledgement or non-receipt.

Dispute Resolution
The parties hereto expressly agree that all disputes arising out of and/or relating to these terms and conditions including any collateral document shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 as may be amended, or its re-enactment, by a sole arbitrator, appointed by lender. The costs of such arbitration shall be borne by you or otherwise as determined in the arbitration award. If a party is required to enforce an arbitral award by legal action of any kind, the party against whom such legal action is taken shall pay all reasonable costs and expenses and attorney’s fees, including any cost of additional litigation or arbitration taken by the party seeking to enforce the award. The place of arbitration shall be Chandigarh.

Governing Law
Notwithstanding anything to the contrary contained herein, any legal controversy or legal claim arising out of or relating to this Agreement shall be governed and construed in accordance with the law of India, the Courts at Chandigarh shall have an exclusive jurisdiction to determine any dispute arising out of or in relation to this Agreement.
